Terms of Service

Please read these Terms of Service ("Terms") carefully before using the Shoponent platform. By creating an account, accessing, or using any part of the service, you agree to be bound by these Terms. If you do not agree, you may not use the platform.
1. Description of Service
Shoponent is a software-as-a-service (SaaS) e-commerce platform operated by Shoponent Limited that enables merchants to create online stores, manage products and inventory, accept payments, and fulfill customer orders. The platform includes a merchant dashboard, storefront builder, and associated APIs and tools (collectively, the"Service").
We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable notice of material changes where possible.
2. Eligibility
You must be at least 18 years old to use the Shoponent platform. By agreeing to these Terms, you represent that you are at least 18 and have the legal capacity to enter into a binding contract. If you are using the platform on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.
3. Account Registration and Security
To access the platform you must register for an account. You agree to:
- Provide accurate, current, and complete information during registration.
- Keep your account information up to date.
- Maintain the confidentiality of your login credentials and not share them with third parties.
- Notify us immediately at support@shoponent.com if you suspect unauthorized access to your account.
- Accept responsibility for all activity that occurs under your account.
We reserve the right to suspend or terminate accounts that show signs of unauthorized use, fraud, or violation of these Terms.
4. Acceptable Use
You agree not to use the Shoponent platform to:
- Violate any applicable local, national, or international law or regulation.
- Sell or facilitate the sale of illegal, counterfeit, or prohibited goods and services.
- Engage in fraudulent, deceptive, or misleading conduct.
- Transmit malware, viruses, or any other malicious code.
- Attempt to gain unauthorized access to any part of the platform or its underlying infrastructure.
- Harvest or collect personal data of other users without consent.
- Use automated tools to scrape, crawl, or extract data from the platform without our prior written permission.
- Infringe the intellectual property rights of Shoponent or any third party.
- Post or distribute content that is defamatory, obscene, or harmful to minors.
Violation of this section may result in immediate suspension or termination of your account and, where appropriate, referral to law enforcement.
5. Merchant Obligations
As a merchant using Shoponent to sell products or services to customers, you are solely responsible for:
- Your products and services: ensuring that all listings are accurate, legal, and comply with applicable consumer protection laws.
- Order fulfillment: processing, shipping, and delivering customer orders in a timely manner and as described in your listings.
- Customer service: handling customer inquiries, complaints, refunds, and returns in accordance with your stated policies.
- Taxes: determining, collecting, and remitting any applicable taxes on your sales. Shoponent does not provide tax advice.
- Compliance: complying with all regulations applicable to your business, including consumer protection, product safety, and data protection laws.
- Customer data: handling the personal data of your customers in compliance with applicable privacy laws. You are an independent controller of customer data collected through your storefront.
6. Storefront and Customer Data
Your Shoponent storefront is used by end customers to browse and purchase products. You acknowledge that:
- Customer accounts and personal data collected through your storefront are associated with your store, not with Shoponent's platform user accounts.
- You must maintain a privacy policy for your storefront and make it accessible to your customers.
- You must not use customer data for purposes beyond operating your store without obtaining appropriate consent.
- In the event of a data breach affecting customer data, you are responsible for notifying affected customers as required by law.
7. Subscription and Billing
7.1 Subscription Fees
Access to certain features of the Shoponent platform requires a paid subscription. Fees are displayed on our pricing page and are due in advance, either monthly or annually depending on the plan you select.
7.2 Payment
By providing payment information, you authorize us (or our payment processors) to charge your payment method for the applicable subscription fee on a recurring basis until you cancel. It is your responsibility to ensure that your payment details remain current.
7.3 Free Trials
Where we offer a free trial, you will not be charged during the trial period. If you do not cancel before the trial ends, your subscription will automatically begin and you will be charged the applicable fee.
7.4 Refunds
Subscription fees are generally non-refundable. If you believe you have been charged in error, contact us within 14 days of the charge at support@shoponent.com.
7.5 Price Changes
We reserve the right to modify subscription pricing. We will provide at least 30 days written notice of any price increase. Your continued use of the Service after the price change takes effect constitutes your acceptance of the new price.
8. Intellectual Property
8.1 Shoponent's IP
The Shoponent platform, including its software, design, logos, trademarks, and documentation, is owned by Shoponent Limited and protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use Shoponent's trademarks or branding without our prior written consent.
8.2 Your Content
You retain ownership of all content you upload to the platform, including product images, descriptions, store assets, and customer data. By uploading content, you grant Shoponent a limited, non-exclusive, royalty-free licence to host, display, and transmit your content solely as necessary to provide the Service.
8.3 Feedback
If you provide feedback, suggestions, or ideas about the platform, you grant Shoponent the right to use that feedback without restriction or compensation to you.
9. Confidentiality
Each party agrees to keep confidential any non-public information received from the other party in connection with the Service and to use such information only for the purpose of performing obligations under these Terms. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant the accuracy or completeness of any content available through the Service.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SHOPONENT AND ITS DIRECTORS, EMPLOYEES, AGENTS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.
In no event shall Shoponent's total liability to you for all claims arising out of or relating to these Terms or the Service exceed the greater of (a) the fees you paid to Shoponent in the 12 months preceding the claim, or (b) USD 100.
Some jurisdictions do not allow the exclusion or limitation of liability for certain types of damages. In such jurisdictions, our liability shall be limited to the fullest extent permitted by law.
12. Indemnification
You agree to defend, indemnify, and hold harmless Shoponent Limited and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property or privacy rights; or (d) any dispute between you and your customers.
13. Termination
13.1 Termination by You
You may cancel your account at any time through your account settings or by contacting us at support@shoponent.com. Cancellation takes effect at the end of the current billing period. We do not provide refunds for unused portions of a subscription term.
13.2 Termination by Shoponent
We may suspend or terminate your account immediately and without notice if you: (a) materially breach these Terms; (b) engage in fraudulent, abusive, or illegal activity; (c) fail to pay fees when due; or (d) create risk or possible legal exposure for us.
13.3 Effect of Termination
Upon termination, your right to use the Service ceases immediately. We will provide you with a reasonable opportunity to export your store data before permanent deletion. Sections that by their nature should survive termination (including intellectual property, limitation of liability, and indemnification) shall survive.
14. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any dispute arising out of or in connection with these Terms shall first be subject to good-faith negotiation between the parties. If unresolved within 30 days, disputes shall be submitted to the exclusive jurisdiction of the courts of Nigeria.
Nothing in this section prevents either party from seeking injunctive relief in any jurisdiction.
15. Changes to These Terms
We may modify these Terms at any time. We will notify you of material changes by email or through a prominent notice on the platform at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service and cancel your account.
We will maintain an archive of prior versions of these Terms, available upon request.
